Given this product handles payments (via Stripe), household PII, and users across multiple countries (US/Ecuador), have an actual lawyer review both this document and the accompanying Privacy Policy before they are presented to real users or before billing goes live. **Last updated: [Date — TBD]** Welcome to Mandado. These Terms of Service ("Terms") govern your access to and use of the Mandado application, website, and related services (collectively, the "Service"), operated by [Company Name — TBD] ("Mandado," "we," "us," or "our"). By creating an account, adding household members, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. ## 1. What Mandado Is (and Is Not) Mandado is a household coordination tool. It allows one family member (a **"Handler"**) to set up a shared household account and invite other family members (each, a **"Requester"**) to send simple requests through a chat-style interface — for example, asking about flight prices for a trip, or sending a photo of a product to look up pricing and availability. Mandado searches, prices, and summarizes information on the Requester's behalf using third-party data sources (see Section 3 and our Privacy Policy). **Mandado does not book flights, does not purchase products, does not process payments to any merchant or airline, and does not hold or transmit funds on your behalf.** When a Requester wants to act on a result Mandado shows them, Mandado notifies the Handler, and the Handler — a human being, using their own accounts and their own payment methods, entirely outside the Service — decides whether and how to complete that purchase or booking directly with the relevant merchant, airline, or other third party (e.g., Amazon, JetBlue). Mandado is a research and notification tool, not a travel agency, not a retailer, not a payment processor, and not a booking platform. ## 2. Eligibility and Household Accounts ### 2.1 Who can use Mandado The Service is intended for use by members of the same household or family unit who are coordinating everyday tasks. You must be at least 18 years old to create a household account as a Handler. See Section 11 (Children's Privacy) regarding minors. ### 2.2 The Handler role The person who creates the household account and configures billing is the **Handler**. The Handler is responsible for: - Maintaining the accuracy of billing and contact information; - Managing the household subscription (Section 6); - Adding and removing Requester accounts within the household; and - All activity that occurs under the household account. ### 2.3 Representation regarding household members **By adding another person to a household account as a Requester, the Handler represents and warrants to Mandado that they have the authority and permission of that person (or, where applicable, are their legal guardian or otherwise authorized to act on their behalf within the household) to do so, and to receive and act on that person's requests.** Mandado is not able to independently verify family relationships or the internal authorization arrangements within a household, and relies entirely on this representation from the Handler. If you are a Handler, please make sure every Requester you add is genuinely comfortable being part of the household account before you add them. Because Requesters often interact with Mandado only through a simple chat interface and may not separately read these Terms, the Handler is responsible for making sure Requesters understand, at a level appropriate to them, that: (a) Mandado only looks things up and summarizes results, (b) nothing is purchased or booked automatically, and (c) the Handler will see and act on their requests. ## 3. How Mandado Works — No Purchases, No Bookings When you use Mandado to look up a flight price or a product: 1. Mandado sends relevant, minimal information (such as travel dates and routes, or a product photo) to third-party data providers to retrieve pricing, availability, or product-identification information. See Section 4 and our Privacy Policy for details on these providers. 2. Mandado presents that information back to the Requester and, if the Requester indicates interest, notifies the Handler. 3. **Mandado's involvement ends there.** Any purchase, booking, checkout, or payment is completed by the Handler, directly with the third-party merchant, airline, or platform, using the Handler's own account and payment method, outside of Mandado entirely. Mandado has no agency, contractual, or fiduciary relationship with Amazon, any airline, or any other merchant on your behalf. We are not a party to, and assume no responsibility for, any transaction you or the Handler ultimately complete with a third party. ## 4. Disclaimers Regarding Prices, Availability, and Product Information **PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.** ### 4.1 Information is estimated and time-sensitive All flight prices, product prices, availability, product matches, and any other data Mandado displays (collectively, "Search Results") are provided for **informational purposes only**. Search Results: - Are **not** a quote, offer, reservation, booking, or purchase of any kind; - Are estimates only, sourced from third-party data providers, and may be incomplete, delayed, or inaccurate; - **May change — including in price, availability, or specifications — at any time between when Mandado displays them and when the Handler (or anyone else) attempts to act on them**, due to factors entirely outside Mandado's control (airline pricing engines, retailer inventory, currency fluctuations, promotions expiring, etc.); and - Do not guarantee that the item, fare, or product will be available at the displayed price, or at all, at the time of purchase. ### 4.2 Verification is the Handler's responsibility **The Handler is solely responsible for independently verifying current price and availability directly with the airline, merchant, or platform before completing any purchase or booking.** Mandado strongly encourages confirming details on the merchant's or airline's own site or app immediately before transacting. Do not rely on a Search Result as a guarantee of anything. ### 4.3 Limitation of liability To the maximum extent permitted by applicable law: (a) **Mandado, its officers, employees, and service providers will not be liable for any price discrepancy, unavailability, cancellation, loss, or unsatisfactory purchase decision arising from or related to your use of, or reliance on, any Search Result**, whether the claim is based on warranty, contract, tort (including negligence), statute, or any other legal theory, and even if Mandado has been advised of the possibility of such damages; (b) Mandado is not responsible for the acts, omissions, errors, representations, warranties, breaches, or negligence of any airline, retailer, or other third party, or for any personal injuries, property damage, or other damages resulting from your dealings with them; (c) In no event will Mandado's total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (i) the total subscription fees you (or your household) paid to Mandado in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred US dollars (US $100); and (d) The Service is provided **"as is" and "as available,"** without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and without any warranty that Search Results will be accurate, complete, current, or uninterrupted. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law. ## 5. Acceptable Use You agree not to: - Use the Service for any unlawful purpose or in violation of any applicable law or regulation; - Attempt to circumvent, disable, or interfere with the security or proper functioning of the Service; - Use the Service to submit content you do not have the right to submit (e.g., photos containing other people's private information without consent); - Upload photos or messages containing malicious code, illegal content, or content that infringes a third party's rights; - Use automated means (scraping, bots) to access the Service outside of the interfaces we provide; - Impersonate another person or misrepresent your affiliation with a household; or - Resell, sublicense, or otherwise commercially exploit the Service without our written consent. We may investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts and, where required by law, reporting to law enforcement. ## 6. Subscriptions and Billing ### 6.1 Household subscription Mandado is offered on a single, flat subscription tier per household, currently priced at approximately **$14.99/month or $129/year** (subject to change with notice as described in Section 6.5). The Handler is the household member responsible for the subscription and all charges associated with it. ### 6.2 Free trial New households receive a free trial that ends automatically at whichever comes first: - **30 days** from the start of the trial, or - **20 completed search requests** (flight lookups and/or product lookups, combined) used by the household. **No credit card is required to start the trial.** A payment method is only requested when the trial actually ends and the household wishes to continue using the Service, at which point payment is collected through Stripe Checkout (see Section 6.3 and our Privacy Policy). ### 6.3 Payment processing All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. **Mandado never sees or stores your full card number or other sensitive payment credentials** — these are provided directly to Stripe. Your use of Stripe's payment services is also subject to Stripe's own terms. ### 6.4 Auto-renewal **Your subscription automatically renews at the end of each billing period (monthly or annually, depending on your plan) until you cancel it.** You will be charged the then-current subscription price to the payment method on file at the start of each renewal period unless you cancel before the renewal date. We may send a reminder before renewal where required by applicable law, but you are responsible for keeping track of your renewal date and for canceling if you no longer wish to continue. ### 6.5 Price changes We may change subscription pricing from time to time. If we do, we will provide notice before the change takes effect for existing subscribers, and the new price will apply starting with your next renewal after the notice period, unless you cancel before then. ### 6.6 Cancellation The Handler may cancel the subscription at any time through the account settings in the Service, or by contacting us at [support email — TBD]. Cancellation will take effect at the end of the current billing period; you will retain access to paid features through the end of the period you already paid for. Canceling does not automatically delete household data — see Section 6.8 and our Privacy Policy for what happens to your data. ### 6.7 Refunds **Refunds are discretionary and are not automatic.** We do not offer refunds or credits for partial billing periods, unused search requests, or dissatisfaction with Search Results, except as required by applicable law. If you believe you were charged in error, or have another billing concern, contact us at [support email — TBD] and we will review your request on a case-by-case basis. Any refund or proration we agree to provide is offered at our sole discretion and does not obligate us to provide the same or similar accommodation in the future. ### 6.8 Effect of cancellation on household data When a Handler cancels the subscription or deletes the household account, the household loses access to paid features at the end of the applicable billing period. See our Privacy Policy (Data Retention) for details on how long your data is kept afterward and how to request deletion. ## 7. Account Termination ### 7.1 By you The Handler may close the household account at any time as described in Section 6.6, or by contacting us directly. ### 7.2 By us We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or if we discontinue the Service. Where practical, we will provide notice of termination and, if applicable, information about exporting or deleting your data beforehand. ### 7.3 Survival Sections 4 (Disclaimers), 6.7 (Refunds), 8 (Third-Party Services), and any other provision that by its nature should survive, will survive termination of these Terms. ## 8. Third-Party Services Mandado relies on third-party providers to deliver certain features, including flight pricing data, product search data, AI-based photo identification, transactional email, browser push notifications, and payment processing. These providers are described in our Privacy Policy. **Mandado is not responsible for the accuracy, availability, or performance of these third-party services**, and your use of the Service is subject to the understanding that data such as travel dates, product photos, and billing information is shared with these providers as necessary to provide the Service to you. ## 9. Intellectual Property The Service, including its software, design, and content (excluding content you submit, such as photos and messages), is owned by Mandado or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your household's personal, non-commercial use, subject to these Terms. You retain ownership of the content you submit (such as product photos and messages). By submitting content, you grant Mandado a limited license to use, store, transmit, and process that content solely as needed to provide the Service to you (including sending product photos to our AI photo-identification provider, as described in the Privacy Policy). ## 10. Indemnification You agree to indemnify and hold Mandado, its officers, employees, and service providers harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your use of the Service in violation of applicable law; (c) any transaction you complete with a third party (airline, retailer, or otherwise) based on a Search Result; or (d) content you submit through the Service. ## 11. Children's Privacy The Service is **not directed at, and is not intended for use by, children under the age of 13** (or the applicable age of digital consent in your jurisdiction, if higher, such as 16 in certain contexts). Requester accounts are intended for adult members of a household. If you believe a child has been added to a household account without appropriate parental or guardian authorization, please contact us at [support email — TBD] so we can address it. ## 12. Changes to These Terms We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — such as an in-app notice or an email to the Handler — before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and may cancel your subscription as described in Section 6.6. ## 13. Governing Law and Disputes These Terms are governed by the laws of **[State/Country of incorporation — TBD]**, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in **[State/Country of incorporation — TBD]**, unless applicable consumer-protection law in your country of residence requires otherwise. ## 14. International Use Mandado is designed for households that may span multiple countries, including the United States and Ecuador. By using the Service, you acknowledge that your information may be accessed, stored, and processed in the United States or other countries where we or our service providers operate, which may have different data protection laws than your own country. See our Privacy Policy for more detail on international data transfers. ## 15. General Provisions - **Entire agreement.** These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mandado regarding the Service. - **Severability.** If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. - **No waiver.** Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. - **Assignment.** You may not assign these Terms without our prior written consent.
